Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("User") and SmoothBooking("SmoothBooking", "Provider", "we" or "us"), which provides the SmoothBooking service (the "Service") as a web application at app.smoothbooking.fi and as iOS and Android mobile applications. By using the Service you agree to comply with these Terms. The Terms are supplemented by our Privacy Policy, Cookie Policy and, where needed, a separate Data Processing Agreement.

1. Description of the Service

SmoothBooking is a cloud-based booking and queue management platform for hairdressers, beauty salons and similar service businesses. The Service enables:

  • End customers: booking appointments, joining virtual queues and using loyalty benefits.
  • Service businesses: managing bookings and queues, organising calendars and staff, customer communications, and creating marketing campaigns for their own customers.

SmoothBooking is an IT platform that connects end customers with service businesses. We do not provide hairdressing, beauty or cosmetic services ourselves. A service contract between an end customer and a service business arises directly between them, and we are not bound by the service business's own booking or delivery terms.

2. Definitions

  • Provider: SmoothBooking (Business ID Y-tunnus rekisteröidään pian).
  • Service: the SmoothBooking booking and queue management service, including the web and mobile applications.
  • User: a natural or legal person who has registered with the Service.
  • Customer: an end customer who books appointments or joins queues through the Service.
  • Pro user: a service business (and the persons representing it) that manages its own operations using the Service.
  • Content: material uploaded to the Service by a User or Pro user (text, images, logos, customer data).

3. Acceptance and changes to the Terms

By creating an account or using the Service, you accept these Terms. If you do not accept the Terms, please do not use the Service.

We may update the Terms from time to time as the Service evolves or the law changes. For material changes we will notify you via the Service and/or by email at least 30 days before they take effect. Continued use after the changes take effect constitutes acceptance of the updated Terms. If you do not accept the changes, you may terminate the Service under section 13.

4. Eligibility and age requirement

The Service is intended for users aged at least 18. By registering, you represent that you are of legal age and have legal capacity. If you create an account on behalf of a company, you represent that you are authorised to bind that company.

The Service may only be used for lawful purposes and in accordance with these Terms. We grant no rights to the Service's content, trademarks or source code beyond those set out here.

5. User account

Use of the Service requires an account. You are responsible for ensuring that:

  • The information you provide is accurate and kept up to date.
  • You keep your password and other credentials confidential.
  • All activity on your account is your responsibility.
  • You notify us without delay if you suspect unauthorised access.

We may suspend or terminate an account if we suspect abuse or breach of the Terms.

6. Pilot phase and no fees

At the time of writing, SmoothBooking is in a pilot phase. The Service is available free of chargeto both Customers and Pro users. We do not charge subscription fees, booking commissions or a share of Pro users' revenue.

When the pilot ends and we introduce a paid subscription, we will notify you at least 60 days in advance. You may then continue with a paid subscription or stop using the Service and export your data. For any future paid subscription, we do not refund usage fees already paid for the portion of the billing period remaining at termination.

SmoothBooking does not process payments between Customer and Pro user. Any fees for services rendered are paid directly between them through the Pro user's own payment process.

7. Customer obligations

As a Customer, you agree to:

  • Provide accurate contact details when making bookings.
  • Arrive at booked times or cancel in advance in accordance with the Pro user's cancellation policy.
  • Treat the Pro user and their staff respectfully.
  • Refrain from fraudulent bookings (e.g. duplicate accounts, or abusing loyalty benefits or campaign codes).

Fees, cancellation rules and consequences of no-shows (such as possible no-show fees) are determined by the Pro user's own policy, which the Pro user communicates in connection with the booking.

8. Pro user obligations and customer data handling

As a Pro user, you specifically agree to:

  • Use Customer data only to provide the service and maintain your own customer relationship.
  • Comply with data protection law with respect to your own customers' data.
  • Send marketing communications only to Customers who have given explicit marketing consent through the Service. The platform blocks campaigns to Customers who have not given consent or have withdrawn it. Every marketing message must include an unsubscribe link that works with a single click.
  • Keep service and opening-hours information up to date so that Customers receive accurate information.
  • Ensure that agreed services are delivered as booked, or that any changes are communicated clearly to the Customer.

As a Pro user you act as an independent controller of your own customer data. SmoothBooking acts as a data processor on your behalf for this data. On request, we provide a separate written Data Processing Agreement.

9. Prohibited use

You must not use the Service to:

  • Engage in unlawful or fraudulent activity.
  • Send spam, malware or phishing messages.
  • Circumvent technical safeguards or limits.
  • Scrape or automatically extract data without our written consent.
  • Harass other users or misuse their personal data.
  • Publish content that infringes third-party intellectual property rights.

We reserve the right to block, restrict or terminate access to the Service for any user who breaches these Terms, and to notify the authorities where appropriate. If your conduct causes us additional costs (such as investigating abuse or responding to authority requests), you are required to reimburse the reasonable actual costs incurred.

10. Provider's rights to data

The Provider has the right to process data stored in the Service for the following purposes:

  • Delivering, maintaining, securing and fixing the Service.
  • Improving the Service and designing new features.
  • Producing statistics and analytics on use of the Service. For this purpose we process data in a form in which no individual user can be identified. Anonymised statistics may be retained and used without restriction.
  • Complying with statutory obligations and resolving disputes.

We have the right to mention Pro users (business name and logo) in our customer and reference lists to a reasonable extent. You may prohibit the use of your name in writing at any time by sending a notice to smoothbooking.app@gmail.com.

Processing of personal data is described in detail in the Privacy Policy.

11. Intellectual property

All intellectual property rights in the SmoothBooking service (source code, user interface, trademarks, logos, images) belong to SmoothBooking or its licensors. Your licence to use the Service is limited, personal and non-transferable.

Content uploaded by the Pro user (business and service descriptions, logos, images) remains the Pro user's property. By uploading content to the Service, you grant us a non-exclusive, worldwide, royalty-free licence to display and process such content to the extent necessary to provide the Service.

12. Subcontractors

The Provider may use subcontractors and partners to deliver the Service (e.g. cloud infrastructure, email and push notification delivery). We are responsible for our subcontractors' actions as if they were our own, and ensure that subcontractors processing personal data are bound by the obligations required under data protection law. Our key subcontractors are listed in the Privacy Policy.

13. Termination

Your right to terminate. You may stop using the Service at any time by deleting your account from the profile page. Before deletion, you can download your data in a machine-readable format from account settings. As a Pro user, you can export all business data similarly from the Pro dashboard.

The Provider's right to terminate.We may terminate the agreement by giving 30 days' notice. We may terminate immediately without notice if:

  • you breach the Terms materially or repeatedly,
  • you use the Service unlawfully or contrary to good practice,
  • you fail to pay fees when due (once paid service is introduced), or
  • you are declared bankrupt, placed in liquidation or corporate restructuring, or are otherwise found to be insolvent.

Discontinuation of the Service.If we decide to discontinue the Service entirely, we will give users at least 90 days' notice and ensure that you can export your data before it is permanently deleted. After termination, we retain data only to the extent required by statutory obligations (such as accounting law).

14. Service availability

We aim to keep the Service available without interruption but do not guarantee uninterrupted or error-free operation. During the pilot phase, the Service is provided as and when it is available, without any specific service-level commitment.

We may perform scheduled maintenance, which we will aim to announce in advance. We are not responsible for interruptions caused by third parties (e.g. cloud providers, internet connectivity) or force majeure (see section 15).

15. Force majeure

We are not liable for delays or damages resulting from force majeure events beyond our reasonable control, such as extensive network outages, power outages, changes in law, authority decisions, natural disasters, wars or similar exceptional events that we could not reasonably have foreseen or prevented.

16. Limitation of liability

To the extent permitted by mandatory law:

  • For Customers (consumers):SmoothBooking's total liability is limited to the greater of the amount the Customer has paid for the Service in the 12 months preceding the claim, or one hundred euros (€100).
  • For Pro users (businesses):SmoothBooking's total liability is limited to the greater of the amount the Pro user has paid for the Service in the 6 months preceding the claim, or one thousand euros (€1,000).

We are not liable for indirect or consequential damages, such as lost revenue, business interruption or loss of data. Nor are we liable for the contractual relationship between a Pro user and their Customer.

These limitations do not restrict liability for (i) personal injury, (ii) damage caused intentionally or by gross negligence, or (iii) rights that apply under mandatory consumer protection law.

17. Pro user indemnification

As a Pro user, you agree to indemnify SmoothBooking against any claims, damages and reasonable costs arising from (i) your breach of the Terms, (ii) unlawful processing of your own customers' data, or (iii) damage caused to Customers by your own service performance or omissions.

18. Governing law and dispute resolution

These Terms and your use of SmoothBooking are governed by Finnish law, excluding its choice-of-law rules.

Disputes shall primarily be resolved by negotiation. Failing that, disputes will be heard by the District Court of Helsinki. Consumer Customers always have the right to bring a case before the district court of their own place of residence or refer the matter to the Finnish Consumer Disputes Board at kuluttajariita.fi/en.

19. Miscellaneous

  • Entire agreement: these Terms together with the Privacy Policy, Cookie Policy and other separately referenced documents (such as the Data Processing Agreement) form the entire agreement between the parties.
  • Severability: if any provision of these Terms is held invalid, the remaining provisions shall remain in force.
  • Assignment: the Pro user may not assign the agreement to a third party without our written consent. We may assign the agreement in connection with a corporate reorganisation, provided the assignee commits to these Terms.
  • Surviving provisions: provisions that by their nature are intended to survive termination (in particular limitation of liability, governing law and dispute resolution) shall remain in effect after termination.
